Franchises
OVERVIEW
Our practice in the area of franchises is generally divided into two (2)
areas:
First, we advise persons who are considering
purchasing an existing franchise location from the current owner/operator,
or those persons who are considering investing in a new franchise that is
being offered by the franchise parent as a new business opportunity.
Typically this involves reviewing the “Uniform Offering Circular” (sometimes
called the “UFOC”, or sometimes referred to as the “FTC Disclosures”).
This is a lengthy document that the franchise parent is required by law to
provide to each prospective franchisee.
This is a long, thick document; we have seen some that are thicker than the
Orange Park phonebook.
Since we have reviewed many, many of these
documents for clients, we are well prepared to review your proposed
documents, detail by detail, and give you meaningful input. Unless one
has reviewed many, many of these documents, in order to develop a frame of
reference, it is very difficult to differentiate between the good franchise
opportunities and the not so good offerings.
Second, we have many current franchise clients,
and they represent virtually every major franchise parent. Since they
are already successful franchisees, our continuing service to them is
comprised of the advice, assistance and problem solving necessary for them
to continue to be a successful business.
Finally, there are three (3) “measuring sticks”
for all franchise opportunities. There are the three (3) basic tenets
that we use to separate the good from the bad franchise opportunities.
They are:
